Terms and Conditions of Use – Lucci (LucciAI Inc.)

These Terms and Conditions govern the access and use of Lucci and the services, products, integrations, and messaging channels operated by LucciAI Inc.

If you do not agree with these Terms, do not use Lucci.

General Description of the Service

Lucci is a conversational and automation solution powered by artificial intelligence that operates on WhatsApp (including WhatsApp Cloud API) and other channels enabled by LucciAI (such as web chat, SMS, voice, email, etc., depending on the client's plan or configuration).

Lucci can:

  • answer questions and generate content,
  • assist with productivity tasks,
  • retrieve, classify, or summarize information,
  • execute automated actions and integrations (depending on configuration),
  • and, in advanced plans, operate as an "AI Worker" for business processes.

Important: Lucci may make mistakes, invent details, or provide outdated information. We do not guarantee accuracy, completeness, or timeliness.

Eligibility and Legal Capacity

The User represents and warrants that:

  • They have the legal capacity to accept these Terms;
  • They will use the Service in accordance with applicable law and these Terms.

If the User acts on behalf of an entity, they represent that they have sufficient authority to bind that entity.

Plans and Service Modes (Free, Professional, and Enterprise)

LucciAI offers different service levels:

3.1. Free Use (if available)

  • May not require prior registration.
  • Subject to usage limits, anti-abuse policies, and technical restrictions.
  • LucciAI may suspend or terminate access at any time.

3.2. Professional

  • Designed for teams or small businesses with extended features (e.g., basic integrations, management, analytics, and increased limits).
  • May include standard support and custom configurations.
  • Requires acceptance of quotation, payment, and setup.

3.3. Enterprise

  • Designed for mission-critical or large-scale operations (e.g., multi-agent, multi-channel, advanced integrations, SSO, dedicated environments, governance, SLAs, and premium support as applicable).
  • Requires a commercial and/or master agreement (MSA), annexes (SOW), and possibly a Data Processing Agreement (DPA).

In the event of a conflict between these Terms and a signed Professional/Enterprise Agreement, the signed Agreement shall prevail.

Registration, Access, and Communication

  • The User typically initiates conversations with Lucci.
  • In Professional/Enterprise plans, if notifications or campaigns are enabled, the Client is responsible for obtaining proper consents for contacting third parties.
  • The User is responsible for maintaining the confidentiality of their device, session, and credentials, and assumes all activity performed through them.

Acceptable Use and Prohibited Conduct

Users must use Lucci only for lawful purposes and without violating third-party rights.

Prohibited activities include (but are not limited to):

  • illegal, fraudulent, or deceptive use;
  • sharing or distributing malware or exploit content;
  • violating intellectual property or data privacy rights;
  • harassment, discrimination, or incitement to violence;
  • attempting to access system prompts, credentials, or security mechanisms;
  • scraping, excessive automation, or misuse causing service degradation;
  • using Lucci for high-risk decisions without human oversight (see Section 8).

LucciAI reserves the right to limit, suspend, or terminate access for misuse, operational risk, or policy violations.

Third-Party Channels: WhatsApp (Cloud API)

By using Lucci via WhatsApp, the User agrees to comply with WhatsApp's/Meta's rules and policies (including messaging, privacy, and commerce policies).

WhatsApp/Meta may restrict, suspend, or cancel accounts without liability to LucciAI. Platform changes may also affect service continuity.

Infrastructure and Subprocessors

LucciAI uses infrastructure and subprocessors, including IONOS (replacing AWS), and may engage additional providers for hosting, storage, messaging, and analytics.

Service availability also depends on the internet, telecommunications, and third-party providers. SLAs or uptime guarantees apply only if expressly defined in an Enterprise Agreement.

Lucci provides general information but does not constitute medical, legal, financial, or professional advice. Users must verify and validate outputs before relying on them.

Do not use Lucci for high-risk decisions (e.g., diagnosis, credit, compliance, or safety-critical operations).

Data, Privacy, and Confidentiality

LucciAI processes User Data according to applicable law and reasonable security measures, though no system is 100% secure.

For Enterprise Clients, data ownership, confidentiality, and retention terms are governed by the contract and DPA.

Intellectual Property

  • LucciAI retains ownership of all software, models, documentation, trademarks, and interfaces.
  • Users retain rights over their own input data.
  • LucciAI grants a limited, revocable, non-exclusive, non-transferable license to use the Service per these Terms.

Liability Limitation

  • To the maximum extent permitted by law, LucciAI shall not be liable for indirect, incidental, or consequential damages, loss of profit, data, or reputation.
  • Liability shall be limited to amounts paid by the User in the past 3 months (or zero if free use).

Indemnification

The User agrees to indemnify and hold LucciAI harmless from any claims arising from misuse, violations of these Terms, or third-party rights infringements.

Modifications

LucciAI may update these Terms or the Service at any time. Continued use after updates constitutes acceptance of the new Terms.
